These Terms of Service (“Terms”) are a legally binding agreement between you and Riwe Technologies Limited (“Riwe,” “we,” “us,” “our”). By using our website, mobile or web applications, USSD, messaging channels, APIs, and related services (collectively, the “Platform”), you agree to these Terms.

1) Service Overview

In short: Riwe provides climate-risk and financial enablement tools, including insurance facilitation, wallets and payments, analytics from satellite/earth-observation data, and AI-driven insights, accessible via web, mobile, USSD, messaging, and APIs.

The Platform includes: (a) insurance facilitation and parametric/trigger-based processing; (b) wallet transactions and payment functions; (c) farm monitoring, risk scoring, and insights generated from earth-observation (e.g., satellite indices), weather, soil and related datasets; (d) AI/ML models for analytics and recommendations; (e) blockchain-enabled settlement and records.

2) Eligibility & Account

In short: You must be 18+, provide accurate info, complete KYC if required, and keep your credentials secure.
  • You must be at least 18 and have legal capacity.
  • Provide accurate, complete information (including KYC/verification) and keep it updated.
  • We may approve, limit, or refuse access at our discretion and request re-verification.
  • You are responsible for safeguarding credentials and enabling available security features; notify us of unauthorized use promptly.

3) Acceptable Use

In short: No unlawful activity, abuse of financial rails, security bypass, or rights infringement.
  • No illegal, fraudulent, deceptive, harassing, or harmful activities.
  • No money laundering, terrorist financing, sanctions evasion, or misuse of cross-border features.
  • No reverse engineering, scraping, automated abuse, or circumvention of controls.
  • No infringement of third-party rights (privacy, IP, data protection, or publicity).

4) Service Modules

4.1 Insurance & Parametric Triggers

In short: Insurance availability depends on eligibility and policy terms. Parametric payouts rely on defined data triggers and may be automated.
  • Coverage, eligibility, exclusions, and claims are governed by policy documents and timelines.
  • Parametric/trigger-based payouts rely on predefined sources (e.g., meteorological or earth-observation indicators).
  • Automated decisions may occur; see Privacy Policy for details and your rights.

4.2 Wallet & Payments

In short: The wallet is a stored-value facility, not a bank account. Transactions can be final once processed.
  • Balances may be subject to limits, compliance holds, or reviews.
  • Confirm recipients and amounts before authorizing; some transactions are irreversible.
  • Disputes, reversals, or chargebacks may lead to holds and fees.
  • We may decline, delay, or reverse transactions for legal or risk reasons.

4.3 Blockchain / On-Chain Features

In short: On-chain entries are often transparent and irreversible; securing keys is critical.
  • On-chain transactions/records can be publicly observable and permanent.
  • If you manage keys, loss of credentials may result in permanent loss of access to value.
  • Network costs and confirmation times vary and are outside our control.

4.4 AI, Satellite & Earth-Observation Analytics

In short: Insights are informational and may vary with data quality; use human judgment for critical decisions.
  • We use AI/ML models and earth-observation data (e.g., vegetation indices), weather, soil and related datasets to generate insights.
  • Outputs may be delayed, incomplete, or differ across sources; results are not guarantees.

5) Fees, Administrative Charges & Taxes

In short: We disclose fees in-product. Administrative fees may apply for special handling. Taxes may be added where applicable.
  • Service Fees: Transaction, payout, exchange, withdrawal, maintenance, inactivity or other disclosed fees.
  • Administrative Fees & Related Costs: May apply for manual reviews, KYC re-verification, special investigations or disputes, document retrieval and archival requests, off-platform settlements, or account reinstatement after suspension.
  • Network/FX Costs: We may pass through network, exchange, or third-party processing costs.
  • Taxes: You are responsible for applicable taxes, duties, levies, or withholding. Fees may include VAT where required; otherwise taxes are additional.
  • Updates: We may revise fees and administrative charges with notice via the Platform or your registered channels.

6) Service Changes, Suspension & Beta

In short: We can modify features, suspend access, or run beta trials; material changes will be communicated where feasible.
  • We may modify, suspend, or discontinue features for maintenance, security, legal, or business reasons.
  • Immediate suspension/termination may occur for suspected fraud, risk, policy breaches, or legal requests.
  • Beta/trial features are optional, time-limited, and provided “as is.”

7) Compliance, Export Controls & Anti-Bribery

In short: You must follow applicable laws, avoid sanctioned uses, and keep accurate records.
  • Comply with data protection, consumer protection, financial/insurance, and AML/CFT rules.
  • Do not use the Platform in prohibited jurisdictions or for restricted end-uses; you represent you are not subject to sanctions.
  • Adhere to anti-bribery/anti-corruption obligations.
  • Provide information we reasonably request for compliance; refusal may limit access.

8) Intellectual Property & Feedback

In short: We own the Platform. You get a limited license. Feedback may be used without obligation.
  • The Platform, software, models, datasets, content, trademarks, and documentation are owned by Riwe or licensors.
  • We grant a limited, non-exclusive, non-transferable, revocable license to use the Platform per these Terms.
  • You may not copy, modify, distribute, or reverse engineer any part of the Platform.
  • Feedback may be used by us without restriction or attribution.

9) Disclaimers

In short: The Platform is provided “as is.” We don’t guarantee uninterrupted service or accuracy of outputs.

To the maximum extent permitted by law, we disclaim all warranties—express or implied—including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, nor accuracy, completeness, or reliability of outputs (including AI/ML and earth-observation analytics).

10) Limitation of Liability

In short: We cap our liability and exclude certain damages.

To the maximum extent permitted by law, Riwe will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages; lost profits; loss of data; or loss due to unauthorized access. Our aggregate liability for all claims in any 12-month period is limited to the total fees you paid to Riwe in that period.

11) Indemnity (Riwe & the C-Suite)

In short: You agree to defend and hold harmless Riwe, its directors, officers, and staff from claims arising from your use.

You will defend, indemnify, and hold harmless Riwe Technologies Limited, its affiliates, and each of their directors, officers, employees, contractors, and agents from and against all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: your use of the Platform; breach of these Terms or law; your content or data; alleged infringement caused by your use; or fraud/willful misconduct. We may assume control of the defense; you will cooperate.

12) Governing Law, Arbitration & Waivers

In short: Nigerian law applies; disputes may go to arbitration; no class actions where legally permitted.
  • Governing Law & Venue: Federal Republic of Nigeria; venue in the Federal High Court, Abuja, unless mandatory law provides otherwise.
  • Arbitration: Disputes may be referred to binding arbitration (seat Abuja; English; one arbitrator unless agreed otherwise). Award may be entered in any competent court.
  • Class/Representative Waiver: Where permitted by law, disputes must be brought individually, not as class or representative actions.
  • Injunctive Relief: We may seek equitable relief to prevent misuse or infringement.

13) Termination & Survival

In short: You can close your account; we can suspend/terminate for risk or breaches; some terms continue after.
  • You may close your account at any time. We may suspend/terminate for reasons in these Terms.
  • Upon termination, access ends; obligations on fees, IP, confidentiality, compliance, limitations, indemnity, and disputes survive.
  • We may retain records as required by law.

14) Notices & Communications

In short: We’ll contact you via in-product messages, email, SMS, or messaging channels.

We may provide notices via the Platform, email, SMS, or messaging channels linked to your account. Keep your contact details current.

15) Miscellaneous

In short: We can update these Terms; some clauses stand even if others don’t; we may assign our rights.
  • Changes: We may update these Terms; material changes will be communicated at least 30 days in advance where feasible. Continued use after the effective date means acceptance.
  • Assignment: You may not assign; we may assign to an affiliate or in connection with corporate transactions.
  • Force Majeure: No liability for delays/failures beyond reasonable control.
  • Severability: If a term is unenforceable, the remainder remains effective.
  • Entire Agreement: These Terms are the entire agreement regarding the Platform.
  • Order of Precedence: If these Terms conflict with product-specific terms, the product-specific terms control.
